1. NATURE OF PLATFORM AND SERVICES

Fundist Technologies Private Limited (“Fundist” or “the Company”) operates a proprietary, technology-based, internet-enabled platform (“Platform”) designed solely to facilitate the digital interaction and preliminary engagement between (i) individuals, founders, entrepreneurs or corporate entities seeking to raise capital (“Founders”), and (ii) angel investors, family offices, venture capital firms, syndicates, corporates, private equity firms, incubators, accelerators, educational institures, non profit organizations, foundations, trust funds, banks, NBFCs, venture debt funds, accredited individuals or any other individuals or institutions seeking to invest, loan, grant, award or seeking any other financial or non financial interest in Founders or other Users of the Plaform  (“Investors”). The Platform provides Founders with the ability to showcase their business ventures and capital requirements, and provides Investors with the ability to access, browse, and engage with such opportunities in a controlled and structured online environment.

The Platform is strictly facilitative in nature and is intended only to enable preliminary interaction, messaging, data exchange, and communications between Users. It does not at any time, or in any manner, constitute or purport to constitute:
(a) an invitation to subscribe to, buy, sell, or deal in securities, derivatives, or any other financial instruments in any manner whatsoever;
(b) a recommendation, solicitation, or endorsement of any investment opportunity;
(c) an offer or public issue under the Companies Act, 2013, SEBI Act, 1992, or any other applicable securities laws;
(d) that it operates, manages or presents itself as a trading platform, securities exchange, clearing house, or stock exchange as contemplated under applicable law;
(e) to be affiliated with, endorsed by, or operating under any partnership, collaboration, or arrangement with any governmental, quasi-governmental, or non-governmental authority, institution, organization, agency, or department.

Fundist does not participate in or interfere with any negotiations, valuation decisions, term sheet discussions, or investment structuring between the Users. Any disbursal, sanction, or commitment of funding—whether by way of equity, debt, grant, credit, discount, media-for-equity, or any other financial instrument or structure—shall be the exclusive and independent decision of the relevant investor(s) or financial institution(s), without any guarantee, representation, warranty, assurance, or obligation on the part of Fundist. All such engagement and subsequent transactions are at the sole discretion and risk of the Users concerned.

Fundist is not registered as an intermediary, investment adviser, merchant banker, portfolio manager, broker, sub-broker, or any other category of market participant under the SEBI (Intermediaries) Regulations, 2008 or any other statute, rules, or regulations administered by the Securities and Exchange Board of India (“SEBI”) or any other regulatory authority. Fundist does not carry out any regulated financial activity and is not subject to any fiduciary obligations under financial services laws.

2. NO INVESTMENT, FINANCIAL OR LEGAL ADVICE

All materials, communications, tools, or content made available on the Platform—whether generated by Fundist or by Users—are intended solely for general informational purposes. No part of the Platform or its contents shall be construed as investment advice, financial analysis, legal opinion, tax consultation, or any other form of regulated professional service.

Fundist does not guarantee the accuracy, completeness, legality, or timeliness of any information provided by Users, nor does it independently verify any business plans, pitch decks, financial statements, funding needs, forecasts, or other data submitted by Founders or Investors. Fundist makes no representations regarding the reliability, credibility, or solvency of any User or the commercial viability of any project or venture presented on the Platform.

Users are strongly advised to conduct their own due diligence, risk assessment, and independent verification of all facts, representations, and documents before taking any investment or legal decision. It is further recommended that Users seek advice from their own SEBI-registered investment advisers, independent legal counsel, chartered accountants, or other professional consultants, as may be appropriate for their individual risk appetite and regulatory compliance needs.

Fundist disclaims any and all liability arising out of or relating to any reliance placed by the User on content or materials obtained through the Platform. Under no circumstances shall Fundist be responsible for the financial outcomes, loss of capital, loss of data, reputational harm, or disputes arising out of investment decisions made by Users based on their interaction with the Platform or its Users.

3. NO VERIFICATION OR ENDORSEMENT

Fundist expressly disclaims any obligation to conduct independent verification, vetting, or validation of any data, content, representations, or documents uploaded, submitted, or made available on the Platform by Users, including but not limited to business plans, financial statements, projections, valuation data, pitch decks, Know Your Customer (KYC) documents, or other investment-related materials (“User Content”). All such User Content is published and displayed strictly on an “as-is” basis, without any express or implied warranty, assurance, or guarantee from Fundist as to its accuracy, authenticity, completeness, legality, or fitness for any purpose.

Fundist does not endorse, recommend, certify, underwrite, or promote any Founder, Investor, business model, investment opportunity, or representation made by any User. Fundist is a neutral facilitator and shall not be construed to have validated or approved the identity, creditworthiness, or claims of any User or the investment-readiness of any venture or company listed on the Platform. It is the sole and exclusive responsibility of each User to conduct their own due diligence, background verification, KYC checks, and legal review of any prospective counterparty with whom they intend to engage, whether through the Platform or otherwise.

4. LIMITATION OF LIABILITY

To the maximum extent permitted under applicable law, Fundist, including its directors, officers, employees, affiliates, consultants, licensors, agents, and service providers, shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages or losses of any kind, including but not limited to loss of business, revenue, goodwill, investment, anticipated profits, use, data, or other economic advantage, arising out of or in connection with:
  (a) the use or inability to use the Platform;
  (b) any reliance placed on information or materials accessed through the Platform;
  (c) any communication, dispute, or transaction between Users;
  (d) any virus, interruption, defect, delay, or performance failure of the Platform;
  (e) unauthorized access, breach of data, or security incidents.

Notwithstanding anything to the contrary contained herein, it is expressly agreed that Fundist’s total aggregate liability, whether arising in contract, tort (including negligence), equity, law or otherwise, for any and all claims, actions, damages, losses or liabilities whatsoever, arising out of or in connection with these Terms, the use of the Platform, or the provision of Services, shall in all circumstances be nil and shall stand at zero.

5. PLATFORM AVAILABILITY

The Platform and all associated content, tools, and services are provided strictly on an “as is” and “as available” basis, without any representations or warranties, express or implied, including but not limited to warranties of title, merchantability, non-infringement, suitability, accuracy, reliability, or fitness for a particular purpose.

Fundist does not warrant or guarantee that:
  (a) the Platform will function without delay, interruption, technical error, or downtime;
 (b) any defects, bugs, or inaccuracies will be corrected in a timely manner;
  (c) the Platform, its servers, or the content provided are free of viruses or harmful components; or
 (d) the results of using the Platform will meet your expectations or yield desired commercial or financial outcomes.

Users access the Platform at their own risk, and Fundist shall not be held liable for any loss or damage arising from service outages, denial of access, infrastructure failure, internet issues, or third-party service disruptions that affect the availability or functionality of the Platform.

6. THIRD-PARTY LINKS AND EXTERNAL RESOURCES

The Platform operated by Fundist may incorporate, display, or facilitate access to third-party websites, applications, services, or external resources (hereinafter “Third-Party Resources”) through hyperlinks, embedded content, or integrations. Such Third-Party Resources are neither owned, operated, nor controlled by Fundist and are provided solely for informational and convenience purposes.

Fundist expressly disclaims any and all responsibility or liability arising from the availability, functionality, accuracy, reliability, or legality of the content, data, policies, or practices of any Third-Party Resource. The inclusion of any such Third-Party Resource on the Platform shall not be construed as an endorsement, approval, sponsorship, or affiliation, express or implied, by Fundist. Users are advised to exercise independent judgment and review the terms and privacy practices governing such Third-Party Resources prior to use. Fundist shall not be liable for any loss, damage, or consequence, direct or indirect, arising out of or in connection with a User’s access to or reliance on such Third-Party Resources.

7. FORWARD-LOOKING STATEMENTS DISCLAIMER

Users are hereby notified that certain content, data, documentation, or material made available on the Platform—whether by Fundist, Users, or third parties—may contain forward-looking statements. These may include projections, financial forecasts, business outlooks, or anticipated results pertaining to commercial activities or investment opportunities. Such statements are inherently speculative, involve substantial risks and uncertainties, and may be based on assumptions that may or may not materialize.

Fundist makes no representation or warranty, express or implied, regarding the accuracy, validity, completeness, or reasonableness of any forward-looking statement. Fundist disclaims any obligation to update or revise such statements and shall not be held liable for any decisions made, or actions taken, based on such content. Users are solely responsible for conducting independent analysis and are advised to seek advice from licensed financial, legal, or tax professionals before relying upon any forward-looking statement or making investment decisions based thereon.

8. USER DISCRETION, INDEPENDENT JUDGMENT, AND RISK

The use of the Platform and any reliance on the content, features, interactions, or communications facilitated thereby shall be at the sole and exclusive discretion, risk, and responsibility of the User. Fundist does not provide any representations, warranties, assurances, or guarantees—express or implied—concerning the accuracy, legality, completeness, or suitability of any information, communication, or opportunity available on the Platform.

Fundist strongly advises Users to conduct their own due diligence and undertake independent verification prior to initiating or consummating any engagement, agreement, or transaction through the Platform. Users are further encouraged to obtain advice from qualified and duly licensed legal, financial, or regulatory professionals to assess risks and obligations. Fundist shall not be liable for any loss, damage, liability, claim, or expense incurred by the User arising from the use of the Platform or any transaction entered into in reliance on its content, whether in contract, tort, or otherwise.

9. AMENDMENTS

Fundist reserves the right, in its sole discretion, to revise, update, or amend this Disclaimer or the Platform’s features at any time without notice. Continued use of the Platform after such changes constitutes your acceptance of the updated Disclaimer.

10. GOVERNING LAW AND JURISDICTION

This Disclaimer shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or related to this Disclaimer shall be subject to the exclusive jurisdiction of the courts in New Delhi.

11. DISPUTE RESOLUTION AND ARBITRATION

Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding their existence, validity, interpretation, breach, or termination, shall be first attempted to be resolved amicably through mutual discussions. If such resolution is not achieved within thirty (30) days, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted by a sole arbitrator appointed mutually by the Parties. The seat and venue of arbitration shall be New Delhi. The language of arbitration shall be English. The arbitral award shall be final and binding on the Parties.
